We were formed on March 26, 2018 as a Delaware statutory trust structured as a non-diversified, closed-end management investment company that has elected to be regulated as a BDC under theInvestment Company Act of 1940, as amended (together with therules and regulations promulgated thereunder, the 1940 Act ). In addition, for U.S. federal income tax purposes, we have elected to be treated as a regulated investment company (a RIC ) under the Internal Revenue Code of1986, as amended (together with the rules and regulations promulgated thereunder, the Code ).
