Carol Flaton has over 30 years of experience in banking & finance, transformation & restructuring, and governance & risk management. Since 2019 she has provided financial advisory services and served as an independent director for both public and private companies. Recent (disclosed) mandates include Speedcast International Ltd (SDA), EP Energy Corp. (EPE) and Jupiter Resources, Inc. Carol was also nominated in 2020 by the Xerox Corporation (XRX) as an Independent Director candidate for HP, Inc. (HPQ) in a Material Shareholder Proposal.
From 2014 to 2019 Carol was a Managing Director at AlixPartners (f/k/a Zolfo Cooper, LLC) specializing in restructuring and turnarounds. While at AlixPartners she advised the P&C and life insurance creditors in the $8bn sovereign restructuring of the Commonwealth of Barbados. Beginning in 2017 she represented the official UCCs in all the Title III filings related to the Commonwealth of Puerto Rico. Carol served as the CRO and Strategic Director of Finance for Cetera Financial Group (NYSE:RCAP) in 2016 and in 2015, was the CRO of Doral Financial Corporation, the NYSE parent company of Doral Bank.
Prior to joining AlixPartners in 2014, Carol was a Managing Director in the restructuring practice of Lazard Freres. At Lazard from 2008-2013 she advised debtors, creditors and equity holders engaged in restructurings, debt exchanges, 363 sales, acquisitions, refinancings and capital raises.
Prior to Lazard, Carol was a Managing Director at both Credit Suisse First Boston and Citi (1995- 2008) responsible for distressed positions in the banks’ portfolios as well as being a senior member of the risk management teams.
Carol has a B.S.B.A. from the University of Delaware and an M.B.A. from IMD (International Institute of Management Development, Lausanne, Switzerland). She has held NASD Series 7 (registered rep) and Series 24 (managing principal) licenses. During her career Carol spent over six years in banking positions in Europe (Zurich and Vienna). She is currently an elected member of the Board of Finance for the town of Sharon, Connecticut and also serves as a member of Sharon’s ARPA Committee assisting with Federal COVID relief funds.
