Parallaxes Capital Highlights Terminated TRA of a Leading Packaging Solutions Provider
NEW YORK, Dec. 1, 2022 /PRNewswire/ -- Parallaxes Capital Management ("Parallaxes") is an alternative asset manager and, since 2017, has raised four funds dedicated to Tax Receivable Agreements ("TRAs"). GPHC disclosed that it paid $109 million to terminate its TRA. The GPHC TRA provided for the payment of 50% of the present value of certain tax benefits projected to be realized by the Company as a result of exchanges of subsidiary units for GPHC stock.
Parallaxes views TRAs, including the GPHC TRA, as a valuable tool to reduce certain moral hazard problems and informational asymmetry inherent in a company's public offering.
